Commercial License Agreement

1. Grant of License

Subject to payment of the applicable annual license fee, Licensor grants Licensee a commercial, worldwide, non-exclusive, non-transferable license to install and run Kenosis under the following terms:

  • Seats: Unlimited developer and engineer seats within the Licensee's organization.
  • Model Outputs: Unlimited model quantization and optimization outputs.
  • Distribution Rights: All quantized .onnx models produced by Licensee using Kenosis carry no deployment restrictions and can be distributed, deployed, or sublicensed under any terms.
  • Token Placement: Licensee is granted the right to use the generated cryptographically signed token to embed corporate provenance tags (kenosis.license: commercial;<token_payload>) inside quantized ONNX models.

2. Restrictions

Except as explicitly authorized herein, Licensee shall not:

  • Sub-license, lease, rent, sell, or redistribute the Kenosis binaries or source code itself to third parties.
  • Modify, forge, or alter license tokens or signature validation logic to bypass license tier revenue thresholds.

3. License Expiry & Renewals

This license is valid for one year from the date of purchase. To continue quantizing new models with a commercial license token, the license must be renewed annually.

No Retroactive Invalidation: If Licensee does not renew, any models already quantized using the Licensee's token during the active license period remain fully licensed, unrestricted, and valid indefinitely.

4. Support

5. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

6. Limitation of Liability

IN NO EVENT SHALL LICENSOR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE TOTAL FEES PAID BY LICENSEE TO LICENSOR FOR THE APPLICABLE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law

This Agreement shall be governed by the laws of the State of West Virginia, without regard to conflict of laws principles. Venue for any dispute shall be in courts located in the State of West Virginia.
