Terms of Service

1. Scope and Acceptance

These Terms govern your access to and use of coreepoch.dev and its subdomains (the "Site"), operated by Core Epoch LLC, a West Virginia limited liability company ("Core Epoch", "we", "us"). By accessing the Site, you agree to these Terms and to our Privacy Policy. If you do not agree to them, please do not use the Site.

2. Software Is Licensed Separately

Core Epoch licenses its software, including Kenosis and Cryphex, under individual written agreements negotiated with each licensee. The Site is informational.

Nothing published here is an offer to sell or license software, and no license arises from visiting the Site, submitting an inquiry, or receiving a reply. Product descriptions, performance figures, and any prices shown are provided for information and may be revised. A license takes effect only when both parties execute a written agreement, and that agreement governs the software it covers. Where its terms differ from these Terms, the executed agreement controls.

3. Inquiries and Evaluation Requests

The Site provides forms for product inquiries and evaluation requests. Submitting one places no obligation on either party. We may decline any request, and we do not commit to providing evaluation access, pricing, or a license.

Please do not send confidential information through the Site. Unless we have executed a non-disclosure agreement with you that covers the disclosure, anything you submit through a form or send to a published address is received on a non-confidential basis, and we may use it to evaluate and respond to your inquiry without obligation to you. If you need to discuss something confidential, ask us for a non-disclosure agreement first.

Personal data contained in a submission is handled as described in our Privacy Policy.

4. Intellectual Property

The Site's content, including its text, layout, graphics, logos, and code, is the property of Core Epoch LLC and is protected by copyright and other applicable laws. Core Epoch's commercial software is proprietary and is not distributed through the Site. You may quote or link to our published research and benchmark figures with attribution.

Some Core Epoch materials are published separately under open licenses, including quantized model artifacts hosted on Hugging Face and open-source tools hosted on GitHub. Each of those is governed by the license distributed with it rather than by these Terms.

5. Acceptable Use of the Site

When using the Site, you agree not to:

  • use it in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to the Site, its infrastructure, or any connected system;
  • interfere with its operation, including through automated traffic that degrades service for others;
  • submit false information, or another person's personal data without their authority;
  • submit material that infringes or misappropriates a third party's rights; or
  • scrape, mirror, or republish substantial portions of the Site's content as your own.

Restrictions on the use of licensed software are set out in the applicable license agreement rather than in these Terms.

6. Third-Party Links and Services

The Site links to third-party services, including GitHub, Hugging Face, and Zenodo. We do not control those services and are not responsible for their content, availability, or terms. Your use of any of them is governed by that service's own terms. The Site is delivered through Cloudflare, whose role as a processor is described in our Privacy Policy.

7. Export Control and Sanctions

Core Epoch is a United States company, and its software and technical data are subject to United States export control and sanctions laws, including the Export Administration Regulations and the regulations administered by the Office of Foreign Assets Control. You may not request or receive software, technical data, or evaluation access if you are located in an embargoed jurisdiction, or if you are a person or entity subject to United States sanctions or named on a restricted-party list. A licensee is responsible for compliance with these laws in any onward transfer of licensed software.

8. Availability and Changes to the Site

We may change, suspend, or discontinue any part of the Site at any time, and we may revise published product information and measured figures as our testing is updated. We do not guarantee that the Site will be available without interruption.

9. Warranty Disclaimer

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PUBLISHED BENCHMARK OR PERFORMANCE FIGURES WILL BE REPRODUCED ON ANY PARTICULAR HARDWARE, RUNTIME, OR WORKLOAD. WARRANTIES APPLICABLE TO LICENSED SOFTWARE, IF ANY, ARE STATED IN THE APPLICABLE LICENSE AGREEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CORE EPOCH LLC OR ITS MEMBER-MANAGERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT GOVERN LIABILITY UNDER A SIGNED LICENSE AGREEMENT, WHICH STATES ITS OWN CAP.

11. Indemnification

You agree to indemnify and hold harmless Core Epoch LLC and its member-managers from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising out of your use of the Site in breach of these Terms or in violation of applicable law, or out of material you submit through the Site.

12. Termination

We may suspend or terminate your access to the Site at any time and for any reason, including a breach of these Terms. Sections 3, 4, 7, 9, 10, 11, 13, 14, and 16 survive any termination.

13. Assignment

You may not assign or transfer these Terms, or any rights under them, without our prior written consent. Core Epoch may assign these Terms and all rights under them, without your consent and without notice, to a successor or acquirer in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets or of the assets associated with a product line. These Terms bind and benefit the parties' permitted successors and assigns.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of law principles. Any legal action arising under these Terms shall be brought in the state or federal courts located in the State of West Virginia, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the date shown at the top of this page. Your continued use of the Site after a change constitutes acceptance of the updated Terms.

16. General

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and Core Epoch regarding the Site, and they do not supersede or modify any signed agreement between us. Headings are for convenience and do not affect interpretation.
